THE GROWING IMPORTANCE OF IT DURING THE M&A PROCESS
In discussing this topic Frank Vielba presented to a large group
of Chief Financial Officers and Financial Directors who attended
the seminar organised by the Institute of Chartered Accountants
(ICAEW) on October 1st, 2007 in London.
During his presentation Frank Vielba addressed and discussed the
following questions:
• Why current M&A activity is reaching record levels?
• What are the typical pitfalls in an M&A project and
how these relate to IT?
• Why is IT Due Diligence important to organisations contemplating
an M&A deal?
• How can organisations learn about M&A and reduce their
IT risks?
• What lessons can be learned from recent CIO research?

M&A’S, IT CONTEXT AND THE CIO INVOLVEMENT
M&A’s are becoming more common, more global and more complex
and at the same time the role of IT in the M&A process is becoming
more important. In some M&A deals IT is the “deal breaker”.
Therefore the CIO involvement and operational leadership becomes
essential for achieving the M&A deal.
In discussing the above scenario Frank Vielba presented to a distinguished
group of CIOs and set the scenes to a very interesting and thought
proving seminar by discussing:
• The current M&A Landscape and why are M&As increasingly
important for CIOs?
• The organization context in which CIO’s deliver M&A’s
projects
• Typical roles and profiles that CIOS adopt in an M&A
project
• Key phases and IT activities in an M&A process and their
function at each stage
• What goes wrong and what does good practice look like?
• CIO Checklist on effective M&A preparation and implementation
